Retreats - Production Agreement

The Retreat (Host) agrees to:

Appoint a staff member as a liaison to the Producer during and leading up to the filming dates. The liaison will be responsible for the coordination and organization of the staff and facilities for the purpose of shooting Yoga Drifters.

Grant access to the Producer to all of the facilities available at the time of filming and all of the amenities that are available to its guests.

Yoga Drifters' cast and crew will have full access to the kitchen, suites, spa, and staff personnel for the purpose of conducting interviews, as well as any other places or resources deemed necessary for filming, providing it does not seriously impose on the enjoyment of the Host's guests.

Provide appropriate actors or staff to act as ‘extras’ in scenes where it is deemed appropriate and subject to availability.

Provide suitable accommodation and meals for the six cast/crew members of Yoga Drifters: three (3) rooms, three (3) full meals a day per person for the duration of the shoot.

Should travel for cast and crew exceed 10% of the overall cost of The Show 1, the Host agrees to cover the incurred travel costs.

Provide the appropriate props and scene treatments to support the look of the show as agreed to on the location scout date (i.e. providing plants for the Yoga studio).

Grant the release of the rights to the footage of the retreat and any persons contained within the raw footage. Yoga Drifters Ltd will have the sole and exclusive rights to all and any footage shot at the retreat and surrounding area.

Should any injuries to persons or animals or damage to property occur as a result of the Producer’s filming (actions involving negligence withstanding) the Host agrees to indemnify the Producer from any kind of legal repercussion or financial obligation.

ii.) Yoga Drifters Ltd. (The Producer) agrees to:

Provide exposure for the retreat by broadcasting Yoga Drifters on luluvision.com as the featured episode for a minimum of 28 days and as part of the season for 12 months. luluvision.com is accessed via a link on lululemon.com. In the first six months of 2005, the site experienced over 16 million page views – an average of 2.8 million page views a month. Figures for 2006 are expected to rise significantly. The control of this link is at the sole and absolute discretion of lululemon athletica.

Provide the Host with two DVD copies of the episode of Yoga Drifters for use by the Host (for three years) for the purposes of promoting its retreat to existing or potential clients at trade shows or through the mail. Any other kind of promotion must first receive written permission by the Producer.

For the services listed above, the Host will pay Yoga Drifters Ltd. (the Producer) in the amount of $34,950 Canadian Dollars, plus applicable taxes.

iii.) For additional cost, the Producer agrees to:

Provide the rights for 10 years to sell copies of the episode at the retreat (in DVD format) $1500

Provide copies of the DVDs with screened disc and printed cover. A minimum of 100 copies must be ordered. $950

DVD’s are $7.50 for every additional copy. A minimum of 50 DVD copies are required for a reorder.

Provide additional retreat-specific footage (45 minutes) for further promotion and/or merchandising. The content of the retreat-specific footage would be determined between Yoga Drifters and the Retreat and specified in a separate agreement. $7500
